1 General Terms

Applicability: These Terms and Conditions are the only valid terms for any sales contract between Teleco Freni srl and the buyer, covering the supply of Products by Teleco Freni srl
Exclusion of other terms/conditions: Any additional terms or modifications requests proposed by the Buyer will not be considered valid without the written consent of Teleco Freni srl.
Modifications: These Terms and Conditions can only be modified through a written document signed by both parties.
Entire Agreement: This document constitutes the entire agreement between the parties, excluding all prior proposals or negotiations..

2 Offer Validity and Price Lists

Offer duration: Offers from Teleco Freni srl are valid for 30 days unless extended in writing.
Order confirmation: A purchase order becomes binding only after written confirmation from Teleco Freni srl, at which point the contract takes effect.
Prevalence of terms: Specific terms in the order confirmation prevail over the general terms.
Price list changes will be communicated 30 days prior to their effective date.

The price of the Products is the one indicated in the order confirmation. If not agreed upon by the parties through a written agreement, the prices in effect at the time of shipment will apply.
Delivery: Unless otherwise agreed, prices are ex-works from our headquarters in Renazzo, Via Argentina 15. Unless otherwise agreed in writing, the goods will always be shipped freight collect via Buyer's carrier. Any packaging costs will be borne by the Buyer.
Delivery dates are approximate and not guaranteed.
Risk of loss or damage passes to the Buyer when the shipment is handed over to their carrier.
Teleco Freni srl may make partial deliveries , unless otherwise agreed.
The Buyer must inspect and verify the Products upon delivery and notify any defects within three days; otherwise, the products are deemed defect-free.

Payment terms: are indicated in the offer and in the Teleco Freni srl order confirmation; no extensions will be granted.
Late payments: In case of delay, Teleco Freni srl will apply interest at the legal rate.
Debt collection: The cost of debt recovery, including legal fees, will be borne by the Buyer.
Termination: Teleco Freni srl may immediately terminate the contract if the Buyer fails to meet an agreed-upon advance payment.

Right to modify: Teleco Freni srl may modify or discontinue the sale of any product type without notice and without obligations, ensuring spare parts in accordance with current regulations. .
Design modifications: Teleco Freni srl may make changes to the design of its products or add improvements.
Specification adjustments: Teleco Freni srl may modify the specifications of a confirmed order to comply with laws or regulatory requirements.

Exemption from performance: Neither party shall be held liable for delays or non-performance caused by force majeure events, such as natural disasters, government actions, wars, strikes, resource shortages, or other causes beyond the control of the party. In the event of force majeure, Teleco Freni srl may cancel the order or postpone delivery, promptly notifying the Buyer.
Liability exemption: If Teleco Freni srl cancels the contract due to force majeure, it will not be liable for non-delivery or non-performance of Services, including any lost profits for the Buyer.
Additional expense and costs: If the delay is caused by the Buyer, they will pay Teleco Freni srl for all additional expenses and costs.

Cancellation or modification : Confirmed orders cannot be canceled, modified, or suspended by the Buyer without written agreement.
Reimbursement for losses: The Buyer must compensate Teleco Freni srl for all losses, costs, and damages resulting from the cancellation, modification, or suspension, including storage and labor costs.

Product warranty

Compliance: Teleco Freni srl guarantees that its Products comply with the agreed specifications and are free from defects in workmanship or materials.
Duration: 12 months from the date of shipment.
Defective product: If a Product is not-compliant within the warranty period, it will be considered defective.
Buyer's obligations: The Buyer must notify Teleco Freni srl of the defect in writing. Teleco Freni srl may, at its discretion and at no cost to the Buyer:

Teleco Freni srl, at its discretion may:

Shipping damage: The warranty does not cover damage caused during shipping or due to accidents.
Inadequate conditions: The warranty does not cover damage caused by improper installation, storage, or working conditions.
Improper use: Damage resulting from improper, inappropriate, or excessive use, is not covered.
Normal wear and tear: The warranty does not cover defects caused by normal wear and tear.
Use outside technical specifications: the warranty does not cover use of the Products beyond the specified technical data or without following Teleco Freni srl’s instructions.
Unauthorized maintenance: The warranty does not cover defects due to maintenance, service, repair, or alteration performed by individuals not authorized by Teleco Freni srl.
Unauthorized modifications: The warranty does not cover defects resulting from unauthorized connections, modifications, or disassemblies
Unauthorized alterations: The warranty does not cover alterations or repairs performed by the Buyer without the written consent of Teleco Freni srl.
Buyer's responsibility: It is the Buyer's responsibility to choose the appropriate Products, properly inspect them during the installation, and ensure their correct installation, operation, and maintenance to guarantee the best performance.
